Momentum University / Mental Wealth Holdings, LLC

Effective Date: June 1, 2025

These Terms govern your use of the Momentum University websites (www.momentumuniversity.online and www.dopaminemastery.io), community platform, digital properties, and all free and paid educational resources, coaching programs, and services (collectively, the "Services"). Specific programs and services may be subject to additional terms in their respective agreements, which supplement these general Terms.

01  Acceptance & Scope

The websites www.momentumuniversity.online and www.dopaminemastery.io (collectively, the "Site") are owned and operated by Mental Wealth Holdings, LLC ("we," "us," or "our"). By accessing the Site, our Circle community platform, or any of our digital properties in any manner, whether automated or otherwise, you agree to be bound by these Terms of Service and to use the Services in accordance with these Terms, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site or from Mental Wealth Holdings, LLC.

We reserve the right to change these Terms of Service or to impose new conditions on use of the Site, from time to time, in which case we will post the revised Terms of Service on this website. By continuing to use the Site after we post any such changes, you accept the Terms of Service, as modified. Accordingly, please review these Terms of Service found at this location on a periodic basis.

Additional Program Terms: Specific coaching programs, courses, challenges, or paid services (including the Momentum University Coaching Program) are governed by separate agreements presented at the time of purchase, which supplement these general Terms.

02  Intellectual Property Rights

All content on our Services, including but not limited to text, graphics, logos, images, audio, video, software, methodologies, coaching frameworks, the Dopamine Optimization Protocol, and compilations, is the exclusive property of Mental Wealth Holdings, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. All rights reserved.

Trademarks

Momentum University, our logo, and all related names, logos, product names, and slogans are trademarks of Mental Wealth Holdings, LLC. You may not use these marks without our prior written permission.

Copyright Protection

All materials are protected under U.S. and international copyright laws. Unauthorized reproduction, distribution, or creation of derivative works is strictly prohibited and may result in severe civil and criminal penalties.

03  Limited License & Use Restrictions

PERSONAL USE ONLY: The Site is provided solely for your personal noncommercial use. These Terms of Service provide to you a personal, revocable, limited, non-exclusive, royalty-free, nontransferable, and nonsublicensable license to use the Site conditioned on your continued compliance with all terms and conditions of these Terms of Service.

You may not use the Site or the materials available on the Site in a manner that constitutes an infringement of our rights or that has not been authorized by us. More specifically, you may NOT:

Copy, reproduce, distribute, publish, upload, post, transmit, translate, sell, or create derivative works from our content.

Use our content for commercial purposes or monetary gain.

Reverse engineer, decompile, or disassemble any software or technology.

Remove or alter any proprietary notices or labels.

Frame, mirror, or inline link any part of our Services without prior written permission.

Use automated systems (bots, scrapers, etc.) to access our Services.

Sell, rent, lease, or sublicense any of our content or your access.

Create competing products or services based on our materials.

Share, disclose, or transfer your login credentials to any other person.

You may, however, from time to time, download and/or print one copy of individual pages of the Site for your personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices and that you do not further distribute or disclose such materials and information.

04  User Obligations

You access the Site on your own volition. You will, at all times, provide lawful and accurate information. You represent that you are at least the legal age of majority. In addition, you agree to abide by all applicable local, state, national, and international laws and regulations with respect to your use of the Site.

If you permit any minor child to use this Site, you will be solely responsible for: (i) the online conduct of such minor child; (ii) the monitoring of such minor child's access to and use of the Site; and (iii) the consequences of any such usage.

05  Community Guidelines

Our online community (currently hosted on Circle) is a private space for members to connect, share, and grow. We occasionally include access to this community as part of our programs. We want every single member to add value to the group. Our goal is to make your community the most valuable community you are a member of. By participating, you agree to these community standards:

Prohibited Conduct

Harassment, bullying, or intimidation of any kind.

Hate speech, discrimination, or bigotry.

Impersonation or misrepresentation of identity.

Self-promotion, unauthorized selling, or solicitation.

Spam, chain letters, or mass messaging.

Pornographic, vulgar, or sexually explicit content.

Promotion of competitive businesses or services.

Sharing others' private information without consent.

Illegal activities, content, or encouragement thereof.

Manipulation, misleading information, or false claims.

Required Conduct

Respect all members and maintain a constructive environment. Maintain strict confidentiality of community discussions and content. Provide constructive feedback and report violations promptly. Use your real identity (no fake profiles). Follow moderator instructions. Focus on community growth and support.

Strike System & Enforcement

THREE STRIKE POLICY: 

First Strike: Written warning with specific violation details.

Second Strike: 7-day suspension from community access.

Third Strike: Permanent removal from all Momentum University platforms.

Severe violations (illegal content, doxxing, threats) result in immediate permanent ban.

Privacy Within Community

Information shared in our community is confidential. Members may not screenshot, record, or share any content or discussions outside the platform without explicit permission from the content creator and Mental Wealth Holdings, LLC.

Moderation Rights

We reserve the right to remove content, suspend or terminate accounts, and take any action necessary to maintain a safe, respectful community environment. Decisions are final and at our sole discretion. We reserve the right to remove anyone at any time. We rarely do this, but we want to let you know how seriously we take our communities.

06  User Content & Licensing

By posting or submitting any material (including, without limitation, comments, blog entries, community posts, testimonials, photos, and videos) to us via the Site, internet groups, social media venues, or to any of our staff via email, text or otherwise, you are representing: (i) that you are the owner of the material, or are making your posting or submission with the express consent of the owner of the material; and (ii) that you are at least the legal age of majority.

In addition, when you submit, email, text or deliver or post any material, you grant Mental Wealth Holdings, LLC, and anyone authorized by us, a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, unrestricted license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose. The foregoing grant shall include the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction.

You acknowledge and agree that any contributions originally created by you for us shall be deemed a "work made for hire" when the work performed is within the scope of the definition of a work made for hire in Section 101 of the United States Copyright Law, as amended. As such, the copyrights in those works shall belong to Mental Wealth Holdings, LLC from their creation. In the event that any of the results and proceeds of your submissions hereunder are not deemed a "work made for hire" under Section 101 of the Copyright Act, as amended, you hereby, without additional compensation, irrevocably assign, convey and transfer to Mental Wealth Holdings, LLC all proprietary rights, including without limitation, all copyrights and trademarks throughout the universe, in perpetuity in every medium, whether now known or hereafter devised.

You acknowledge that Mental Wealth Holdings, LLC has the right but not the obligation to use and display any postings or contributions of any kind and that Mental Wealth Holdings, LLC may elect to cease the use and display of any such materials (or any portion thereof), at any time for any reason whatsoever.

NOT PROFESSIONAL ADVICE: All content provided through our Services is for educational and informational purposes only. Mental Wealth Holdings, LLC is not a licensed professional services firm in any field including medicine, psychology, psychiatry, law, or finance.

Momentum University is NOT a medical provider, therapist, or psychiatrist. We do not diagnose, treat, or cure any medical or mental health conditions. 08  Privacy & Data Protection

Community Data

Information you share in our Circle community may be visible to other members. Exercise caution when sharing personal information. We are not responsible for other members' use of information you choose to share.

Data Retention

We retain personal data only as long as necessary to provide our Services and fulfill the purposes described in our Privacy Policy. Typically:

Account information: Retained until account deletion plus any legally required period.

Transaction records: 7 years for tax and legal compliance.

Community content: Until deleted by user or as required by moderation.

Marketing data: Until opt-out plus suppression list maintenance.

09  Refund Policy

PROGRAM-SPECIFIC REFUNDS: Coaching programs and services (including the Momentum University Coaching Program) have specific refund terms outlined in their individual service agreements signed at purchase. Contact [email protected] for program-related refund requests.

Digital Products & Merchandise

We offer a 14-day money-back guarantee for digital products and merchandise, subject to these conditions:

Products must be UNUSED (we track digital product access through our activity dashboard).

Request must be submitted within 14 days of purchase.

Physical merchandise must be returned in original condition.

Shipping costs are non-refundable.

Payment & Access

Your purchase is for personal use only. Sharing of purchases is not permitted and will be considered unauthorized, an infringing use of our copyrighted material, and may subject violators to liability. If payment for a course or program is declined, our system will automatically disable access to our premium materials. We will make every attempt to contact you to help resolve billing issues. Once the billing issue is resolved, we will restore access.

10  Credit Authorization (FCRA)

MOMENTUM STRATEGY CALL APPLICATIONS: By submitting an application to book a Momentum Strategy Call through our Site (including www.momentumuniversity.online, www.dopaminemastery.io, or any affiliated landing page), you provide written authorization for Munka Consulting Group LLC to obtain your credit profile from one or more consumer reporting agencies under the Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq., solely for pre-qualification purposes related to your potential enrollment in a Momentum University coaching program.

This authorization permits Munka Consulting Group LLC to access your credit report as a "soft inquiry" (also known as a "soft pull"), which will NOT affect your credit score. This inquiry is used exclusively for the purpose of assessing financial eligibility and readiness for program enrollment and is not used for any other lending, employment, insurance, or unrelated commercial purpose.

By submitting your application, you acknowledge and agree that: (i) you have voluntarily provided your personal information for this purpose; (ii) you understand this is a soft inquiry that will not impact your credit score; (iii) the information obtained will be kept confidential and used solely for the pre-qualification purposes described herein; and (iv) this authorization remains valid for 90 days from the date of your application submission, after which a new authorization would be required for any subsequent inquiry.

11  Registration & Account Security

To access certain features of the Site, we may ask you to provide certain demographic information and to register with us. You agree to provide true, accurate, current and complete information about yourself as prompted by the Site's registration form, and to update this information when it changes. If we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof). Our use of any personally identifiable information you provide to us as part of the registration process is governed by the terms of our Privacy Policy.

You are responsible for maintaining the confidentiality of your password and account credentials, and are responsible for all activities (whether by you or by others) that occur under your password or account. Our Services may contain links to third-party websites or integrate with third-party services (including Circle, payment processors, and other platforms). We are not responsible for their content, privacy practices, or functionality. Your use of third-party services is at your own risk and subject to their respective terms.

Neither Mental Wealth Holdings, LLC nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content provided by third parties. Furthermore, Mental Wealth Holdings, LLC neither endorses nor is responsible for the accuracy and reliability of any opinion, advice, or statement made on any of the sites by anyone other than an authorized Mental Wealth Holdings, LLC representative while acting in his/her official capacity.

You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Site. You agree to use the Site and to purchase services or products through the Site for legitimate, non-commercial purposes only. You also agree not to make any purchases for speculative, false or fraudulent purposes.

14  Limitation of Liability

MAXIMUM LIABILITY: To the fullest extent permitted by law, Mental Wealth Holdings, LLC's total liability for all claims arising out of or related to these Terms or your use of the Services shall not exceed $100 or the amount you paid us in the 12 months before the claim arose, whichever is greater.

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL WE, OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE, INCLUDING OUR MESSAGING, BLOGS, COMMENTS OF OTHERS, BOOKS, EMAILS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE OR BY US IN ANY WAY, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. We are not responsible for the conduct of any user in our community or elsewhere. Interactions with other users are at your own risk. We disclaim all liability related to user interactions, including any harm arising from offline meetings or communications.

You agree at all times to defend, indemnify and hold harmless Mental Wealth Holdings, LLC, its affiliates, their successors, transferees, assignees and licensees and their respective parent and subsidiary companies, agents, associates, officers, directors, shareholders and employees of each from and against any and all claims, causes of action, damages, liabilities, costs and expenses, including legal fees and expenses, arising out of or related to:

Your violation of these Terms or any obligation, warranty, representation or covenant set forth herein.

Your violation of any third-party rights.

Your use or misuse of our Services.

Your interactions with other users.

Content you post or share through our Services.

16  Enforcing Security

You may not use the Site or any of Mental Wealth Holdings, LLC's data, systems, network, or services to engage in, foster, or promote illegal, abusive, or irresponsible behavior. In order to maintain security, you have no reasonable expectation of privacy while using the Site because we reserve the right to view, monitor, and/or record activity on the Site. Such recorded activity is subject to review by law enforcement organizations. We will also comply with all court orders or subpoenas involving requests for information.

17  Termination

We may cancel or terminate your right to use the Site or any part of the Site at any time without notice. In the event of cancellation or termination, you are no longer authorized to access the part of the Site affected by such cancellation or termination. You may also terminate these Terms of Service at any time by ceasing to use the Site, but all applicable provisions of these Terms of Service will survive termination as identified herein.

Effect of Termination

All provisions which by their nature should survive the expiration or termination of these Terms of Service, including without limitation the provisions concerning ownership of proprietary rights, the restrictions imposed on you with respect to material downloaded from the Site, credit authorization, indemnification, waiver and severability, entire agreement, governing law and the disclaimers and limitations of liabilities, shall survive these Terms of Service for any reason.

18  Dispute Resolution

Binding Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, not in court, except for intellectual property disputes or claims eligible for small claims court. These Terms of Service shall be governed by and construed in accordance with the laws of the State of California and any dispute shall be subject to binding arbitration in San Francisco, California.

Class Action Waiver

YOU WAIVE ANY RIGHT TO BRING CLAIMS AS A CLASS OR COLLECTIVE ACTION. All disputes must be brought in your individual capacity only.

Injunctive Relief

You agree that Mental Wealth Holdings, LLC shall be entitled, in addition to other available remedies, to seek and be awarded an injunction or other appropriate equitable relief from a court of competent jurisdiction restraining any breach, threatened or actual, of your obligations under any provision of these Terms of Service. Accordingly, you hereby waive any requirement that we post any bond or other security in the event any injunctive or equitable relief is sought by or awarded to us to enforce any provision of these Terms of Service.

19  DMCA Copyright Policy

We respect intellectual property rights and expect our users to do the same. The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law.

If you believe in good faith that materials hosted by Mental Wealth Holdings, LLC infringe your copyright, you, or your agent may send to Mental Wealth Holdings, LLC a notice requesting that the material be removed or access to it be blocked. Any notification by a copyright owner or a person authorized to act on its behalf that fails to comply with requirements of the DMCA shall not be considered sufficient notice and shall not be deemed to confer upon Mental Wealth Holdings, LLC actual knowledge of facts or circumstances from which infringing material or acts are evident.

If you believe in good faith that a notice of copyright infringement has been wrongly filed against you, the DMCA permits you to send to Mental Wealth Holdings, LLC a counter-notice. All notices and counter notices must meet the then current statutory requirements imposed by the DMCA; see http://www.loc.gov/copyright for details.

20  General Provisions

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Venue for any disputes shall be San Francisco, California.

Modifications

We may modify these Terms at any time. Continued use of the Site after changes constitutes acceptance of modified Terms.

Waiver & Severability

Failure to insist on strict performance of any of these Terms of Service will not operate as a waiver of any subsequent default or failure of performance. No waiver by Mental Wealth Holdings, LLC of any right under these Terms of Service will be deemed to be either a waiver of any other right or provision or a waiver of that same right or provision at any other time. If any part of these Terms of Service is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most clearly matches the intent of the original provision and the remainder of these Terms of Service shall continue in effect.

Entire Agreement

No joint venture, partnership, employment, affiliate, or agency relationship exists between you and Mental Wealth Holdings, LLC as a result of these Terms of Service or your utilization of the Site. These Terms of Service, together with any program-specific agreements, represent the entire agreement between you and Mental Wealth Holdings, LLC with respect to use of the Site, and they supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written between you and Mental Wealth Holdings, LLC with respect to the Site.

Assignment

You may not assign or transfer any rights under these Terms of Service without the prior written consent of Mental Wealth Holdings, LLC. These Terms of Service shall be binding upon and inure to the benefit of Mental Wealth Holdings, LLC and our respective assigns, successors, heirs, and legal representatives. Notwithstanding the foregoing, all rights and obligations under these Terms of Service may be freely assigned by Mental Wealth Holdings, LLC to any affiliated entity or any of its wholly owned subsidiaries.
